Terms of Service

1. Acceptance of Terms

By accessing or using CPA Buddy ("Service"), operated by OfficeHQ AI Inc. ("Company", "we", "our", or "us"), under the product name CPA Buddy, you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not access or use the Service.

2. Description of Service

CPA Buddy provides AI-first practice management software for accounting firms, including client management, workflow automation, document management, client portal, time and billing, and tax practice management tools ("Service"). The Service is provided as a cloud-based software-as-a-service (SaaS) platform.

3. Account Registration

To use certain features of the Service, you must register for an account. You agree to:

  • Provide accurate, current, and complete information during registration
  • Maintain and update your information to keep it accurate
  • Maintain the security and confidentiality of your login credentials
  • Accept responsibility for all activities that occur under your account
  • Notify us immediately of any unauthorized use of your account

4. Use of Google OAuth

Our Service offers authentication through Google OAuth. By choosing to sign in with Google, you authorize us to access basic profile information (such as your name, email address, and profile picture) as permitted by your Google account settings. We use this information solely for account creation and authentication purposes in accordance with our Privacy Policy.

5. Acceptable Use

You agree not to use the Service to:

  • Violate any applicable laws, regulations, or third-party rights
  • Upload or transmit viruses, malware, or other malicious code
  • Attempt to gain unauthorized access to the Service or its systems
  • Interfere with or disrupt the integrity or performance of the Service
  • Use the Service for any unlawful, fraudulent, or deceptive purpose
  • Reverse-engineer, decompile, or disassemble any part of the Service
  • Share your account credentials with unauthorized parties

6. Intellectual Property

The Service and its original content, features, and functionality are owned by CPA Buddy and are protected by international copyright, trademark, patent, trade secret, and other intellectual property laws. You may not copy, modify, distribute, sell, or lease any part of the Service without our prior written consent.

7. User Data and Content

You retain ownership of all data and content you upload to the Service ("User Content"). By uploading User Content, you grant us a limited license to store, process, and display your content solely for the purpose of providing the Service to you. We will not share, sell, or use your User Content for any other purpose.

8. Data Protection

9. Payment and Billing

Certain features of the Service require a paid subscription. By selecting a paid plan, you agree to pay the applicable fees as described on our Pricing page. Fees are billed in advance on a monthly or annual basis and are non-refundable except as required by law or as otherwise stated in these Terms.

10. Termination

We may suspend or terminate your access to the Service at any time, with or without cause, upon reasonable notice. You may terminate your account at any time by contacting us. Upon termination, your right to use the Service will cease immediately, and we will delete your data in accordance with our data retention policy, unless retention is required by law.

11. Disclaimer of Warranties

The Service is provided "as is" and "as available" without warranties of any kind, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or free of harmful components.

12. Limitation of Liability

To the maximum extent permitted by applicable law, CPA Buddy shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses resulting from your use of the Service.

13. Indemnification

You agree to indemnify, defend, and hold harmless CPA Buddy and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising out of or related to your use of the Service or violation of these Terms.

14. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Province of Alberta, Canada, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts located in Calgary, Alberta, Canada.

15. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms on our website with a revised "Last updated" date. Your continued use of the Service after any changes constitutes acceptance of the new Terms.
